We are committed to delivering value and qualified support, placing the Customer’s needs at the center of our activities.
This commitment includes, among other things, the possibility for the Customer to freely select the preferred carrier during the checkout process, retaining full control over shipment.
2. Scope and Applicability
These General Terms and Conditions of Sale (“Terms”) govern the sale of:

hardware products
-
software licenses
-
consulting and technical support services
made through the website https://itg-shop.eu (the “Website”).

By placing an order through the Website, the Customer fully accepts these Terms.
3. Order Classification
For legal and tax purposes, orders are classified as follows:
3.1 Business-to-Business (B2B)
An order is classified as B2B when the Customer:

provides a valid VAT number, or
-
requests the issuance of a commercial invoice
In such cases, the provisions of the Italian Civil Code apply.
3.2 Business-to-Consumer (B2C)
An order is classified as B2C when the Customer purchases as a private individual without a VAT number.
The protections provided by the Italian Consumer Code (Legislative Decree No. 206/2005) and applicable European Union regulations apply.
4. Order Acceptance and Technical Suitability
Placing an order constitutes a contractual offer by the Customer.
The sales contract shall be deemed concluded only upon transmission of the Order Confirmation by IT AND GENERAL SRLS.
The Customer is solely responsible for verifying, prior to purchase, that the technical specifications of the products (including, by way of example, firewall throughput, supported users, and software compatibility) are suitable for their infrastructure and operational requirements.
5. Warranty and Technical Support
5.1 Warranty Period

B2B Customers: 12-month commercial warranty pursuant to the Italian Civil Code, unless otherwise agreed in writing
-
B2C Customers: 24-month legal warranty of conformity pursuant to Articles 128–135 of the Italian Consumer Code
5.2 Netgate RMA Procedure
For Netgate products, prior technical authorization (RMA) must be obtained through the manufacturer’s TAC Support:

Without approved RMA authorization, returns, replacements, or repairs cannot be processed.
5.3 Warranty Exclusions
The warranty does not cover defects or failures resulting from:
-
power surges or electrical events
-
hardware tampering
-
incorrect installation or configuration
-
improper or non-compliant use
-
operation in unsuitable environments
6. Right of Withdrawal
6.1 B2C Customers – Physical Products
Consumers may withdraw from the contract within 14 days from receipt of the goods, without providing any reason.
In the event of a valid withdrawal:
-
payments received for the returned products will be refunded
-
standard outbound shipping costs will be refunded
-
additional costs related to express or insured delivery will not be refunded
Refunds shall be issued within 14 days from notice of withdrawal or receipt of the returned goods, in accordance with applicable law.
Return shipping costs remain the responsibility of the Customer.
6.2 B2B Customers
No right of withdrawal for reconsideration is granted for purchases made with a VAT number.
6.3 Digital Products and Services
Pursuant to Article 59 of the Italian Consumer Code, the right of withdrawal is excluded for:

software licenses
-
activation keys
-
digital or technical support services already delivered or activated
7. Limitation of Liability – Security
The Customer acknowledges that the provision of security hardware or software does not guarantee complete invulnerability of IT systems.
IT AND GENERAL SRLS shall not be liable for:
-
security breaches
-
ransomware or cyberattacks
-
data loss
-
operational or business interruptions
Responsibility for system management, monitoring, and protection remains with the Customer.
Nothing in this section shall limit or exclude mandatory rights granted to consumers under European Union law.
8. Shipping and Transfer of Risk
8.1 Order Processing
Orders for in-stock products received by 11:30 AM (CET) are generally processed on the same business day.
8.2 Transfer of Risk – B2B
Risk transfers to the Customer when the goods are handed over to the carrier
(Ex Works / Franco Magazzino).
8.3 Transfer of Risk – B2C
Risk transfers to the consumer only upon physical delivery of the goods.
9. Prices and Payments
All prices are expressed in Euro (€).
Payments are processed through secure gateways compliant with PSD2 regulations.
Any customs duties, local taxes, or charges applicable to shipments outside the European Union shall be borne exclusively by the Customer.
10. Personal Data Protection and Hosting
Personal data are processed in accordance with Regulation (EU) 2016/679 (GDPR). Hosting Infrastructure: The Website’s IT infrastructure is provided by IT AND GENERAL LIMITED, with servers located in London, United Kingdom. Data transfer to the UK is based on the European Commission’s Adequacy Decision of June 28, 2021, which ensures a level of data protection equivalent to that of the European Union. 11. Force Majeure
Neither party shall be held liable for failure or delay in the performance of its contractual obligations where such failure or delay is due to events beyond its reasonable control, including but not limited to natural disasters, strikes, supply chain disruptions, or governmental measures.
12. Applicable Law and Jurisdiction
These Terms are governed by Italian law.

B2B Jurisdiction: exclusive jurisdiction of the Court of Rome (Italy)

B2C Jurisdiction: for consumers resident in the European Union, the competent court shall be that of the consumer’s place of residence or domicile, in accordance with applicable EU regulations
